Step 1 – Application for Digital Signature Certificate (DSC):
In the online OPC registration process, a Digital Signature Certificate (DSC) is crucial, to verify your identity online.
Obtaining a DSC is a digital process involving document verification, video verification, and phone verification. This ensures the authenticity of the person applying.
2. Application for OPC Name Approval:
The name of your company can be apply through the SPICE RUN form, which is a part of the SPICe+ form.
It’s essential to ensure that the chosen business name doesn’t resemble with any registered company or Trademark.
3. Filing of SPICe Form (INC-32):
Once your proposed name is approved, the next step is filling in the SPICe+ form (INC-32). This form is a simplified proforma for incorporating a company electronically.
The details in the form include information about the company, details of the member and subscriber, application for Director Identification Number (DIN), application for PAN and TAN, and declarations by the director and subscriber.
Additionally, there is a declaration and certification by a professional involved in the process.
During the application for OPC company registration, you need to draft the Memorandum of Association (MOA) and Articles of Association (AOA) using SPICE e-MoA (INC-33) and e-AoA (INC-34) forms and submit the other required documents along with it.

4. Verification:
Once all the documents are submitted and fees paid, the Registrar of Companies will verify the application. If everything is in order, the certificate of incorporation will be issued. This whole process can take up-to 14 days.
